Why Coherent Assets Close Faster, and at Fewer Concessions

A negotiation rarely fails over price alone. It fails, or stalls, or erodes in value through repeated concessions, when a buyer’s own due diligence keeps surfacing gaps between what was represented and what is actually there.

An asset whose identity, experience, and revenue systems are genuinely coherent gives a buyer very little reason to renegotiate once diligence begins. Pricing logic is documented and consistent with what the buyer independently verifies. Guest experience standards match what the reviews and operational data already suggested. There is no late-stage discovery of informal, undocumented dependencies that change the buyer’s risk assessment midway through the process.

An asset held together by informal judgment and undocumented structure creates the opposite condition. Each stage of diligence has the potential to surface a new gap: a pricing decision that turns out to depend on one person’s discretion, a guest experience standard that exists only as habit rather than documented process, a reputation that turns out to be more fragile than the historical numbers implied. Each discovery becomes a new point of leverage for the buyer to renegotiate terms, not because the buyer is acting in bad faith, but because the asset itself is generating legitimate uncertainty at every stage of the process.

This is why coherence functions as a negotiation asset in its own right, independent of the underlying financial performance. Two properties with identical trailing financials can produce very different outcomes at the negotiating table, not because one negotiates better, but because one gives a buyer fewer reasons to keep asking questions.
